1 Registration

1.1 It is recorded that it is the will and intention of the account holder to be registered on the NR.

1.2 The account holder is registering at his own free will

1.3 Hereby duly authorised to register the account holder on the NR

1.4 The account holder acknowledges and accepts the responsibility to keep the company data up to date on the NR. The account holder undertakes to update the information on the NR, during the period of 30 days after the information changed.

1.5 The account holder hereby warrants that this information is accurate and a true reflection of the current situation and may be verified and used in a court of law.

1.6 The account holder also acknowledges that the information will be used to advertise the account holder’s business on the NR. The NR has the right to use the provided information for the intended use as an when it sees fit.

1.7 The account holder as the right to deregister from the NR, by removing all the relevant documentation, but the NR will keep record of the removal on the account holder’s request.

2 Service delivered for payment

2.1 The NR will render the service in good faith and will do everything reasonably possible to deliver the service on time and according to the order.

2.2 The account holder agrees that all outstanding amounts are to be paid as per invoice or debit order signed by the client by no later than 30 days after signature hereof. Should the client refuse or fail to adhere to the terms and conditions of this agreement, signatories hereto consent to the listing of detail on credit institutions. Signatories hereto consent that the amounts appearing on NR documentation are liquid amounts and consent to judgment in the case of any non-payment in terms of Section 57 and 58 of Act 32 of 1944.

3 Access to the system

3.1 The account holder is given access to the NR system by using a username and password.

3.2 The account holder’s details including username and password must be kept confidential.

3.3 The account holder will only access the system with their assigned username and password.

3.4 The NR has the right to discontinue the account holder’s access, if it suspects that it is used by another party.

4 Confidentiality

4.1 All documentation received from clients will not be treated as confidential. The purpose of the documents is to advertise the compliance of the supplier to the client’s requirements.

4.2 NR provides the opportunity to the client to mark each document as confidential. NR will treat those documents as part of the confidential information as specified normally for the BEE calculator

5 Indemnity

5.1 The account holder indemnifies NR from any claim for any loss incurred due to any but not limited to: system failure, inability to access the system for whatever reason, faulty calculations, incorrect data or the display thereof.

6 Ownership

6.1 It is recorded that the NR is the appointed operator of the database and system under license from Outvestments Limited (155280 B), based in Bahamas, who is the sole owner of the database and system.

6.2 The account holder has no claim to any of the data, files, information or any confidential information.

7 Jurisdiction

7.1 The account holder and the NR hereby consent to the jurisdiction of The Commonwealth of The Bahamas for any legal dispute that might arise related to ownership.

7.2 The account holder hereby consent to the jurisdiction of the magistrate's court of South Africa for any other legal dispute that might arise from this agreement, save any issue related to ownership as per the clause above.

8 Non-disclosure undertaking

8.1 The Parties hereto place on record that the account holder will obtain knowledge of NR's scheme and activities and will have insight into the documentation and information in respect of NR's operation and intellectual property.

8.2 Therefore the account holder undertakes, not to disclose any information or intellectual property, data, documentation or knowledge of NR's business activities to any competitor of NR and or other person or business which might be a potential client, but not limited to, in any manner whatsoever, and to keep all information, documentation or knowledge received as private and confidential vis a vis competitors and or potential clients of NR as NR is the sole proprietor thereof.

9 Domicilium Citandi et Executandi

9.1 It is agreed by the parties that their addresses mentioned above shall serve as their respective domicili citandi et executandi, being the addresses to which all notices, or other documents may be sent in relation to this agreement.

10 Entire Agreement

10.1 This agreement constitutes the entire record of the agreement between the Parties. No party shall be bound by any express or implied term, representation, warranty or the like not recorded herein. No addition to, variation of, or cancellation of the agreement shall be of any force or effect unless reduced to writing and signed by or on behalf of the parties.

11 Complaints

11.1 The account holder hereby accepts the process to lodge any complaint on the NR website, to be formally investigated. The client undertakes to first use this avenue to rectify any situation before using alternative measures.

11.2 The account holder consents to the completion of the complaints procedure before starting alternative measures.

12 Impartiality

12.1 The account holder hereby accepts the NR as an independent and impartial entity with no bias towards any BEE verifications agency, BEE consultation firm or any entity in the BEE or Supply Chain Management marketplace.

13 BEE Calculators

13.1 The use of the calculators is at own risk.

13.2 The BEE calculators are not to be used for generating any income or favours. The account holder hereby promise that the BEE calculators are used only for analysis of the existing company’s data and no other entities’ like clients, partners, suppliers or any non related entity.
